1. Agreement

These Terms of Service (“Terms”) are a legal agreement between you and Growdex Technology Solutions Limited (“Growdex”, “we”, “us” or “our”), a company registered in Nigeria at 40 Obeagu Street Otuku Emene, Enugu, Nigeria. They govern your use of Growdex Social, our website at https://www.growdexsocial.xyz, our application, integrations and related services (the “Services”).

By creating an account, accepting an invitation or using the Services, you agree to these Terms and confirm you have read our Privacy Policy, which explains how we handle personal data. If you use the Services on behalf of a business or other organisation, you confirm you have authority to bind it, and “you” includes that organisation.

02

2. Who can use Growdex Social

You must be at least 18 years old and able to form a binding contract. You may not use the Services if you are barred from doing so under applicable law, or if we have previously suspended or terminated your account for breaching these Terms.

Growdex Social helps creators, businesses, teams and agencies plan, write, review, schedule and publish social media content. Features may change as we develop the Services, and some features depend on third-party platforms being available to us.

03

3. Accounts, workspaces and team roles

Your account. You must give accurate information when you register and keep it up to date. You are responsible for keeping your password secure and for everything done through your account. Tell us promptly at privacy@growdexsocial.xyz if you suspect unauthorised access.

Workspaces and brands. Content is organised into workspaces, and each workspace contains one or more brands. The person who creates a workspace is its first owner. Owners and administrators control the workspace: they can invite and remove members, assign roles, give members access to specific brands, add or archive brands, and set review rules.

Team members. If you join a workspace by invitation, the workspace owner decides what you can see and do, and may change your role or remove you at any time. Content you create in a workspace belongs to that workspace for the purposes of these Terms, and remains in it if you leave or are removed.

Agencies and client brands. If you manage brands or social accounts for clients, you confirm you have their authority to do so, including authority to connect their accounts and publish on their behalf, and that you will handle their information lawfully. You are responsible to your clients for how you use the Services for them.

Approvals. Review and approval features help teams decide what is published, but they do not replace your own judgement. Approving a post means your workspace accepts responsibility for it.

04

4. Your content

You keep ownership. “Your Content” means anything you or your workspace members add to the Services, including ideas, captions, drafts, images, videos, alt text, comments and approvals. You (or your licensors) keep all rights in Your Content.

The licence you give us. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, display and transmit Your Content only as needed to provide and secure the Services for you, including sending it to the social platforms you choose when you ask us to publish. This licence ends when Your Content is deleted from the Services, except for copies we must keep by law or that remain for a limited time in backups.

Your responsibilities. You confirm you have the rights and permissions needed for Your Content, including consent from people who appear in it, and that publishing it will not break the law, infringe anyone’s rights, or breach the rules of the platform it is published to.

Removal. We may remove or block access to content that we reasonably believe breaches these Terms or the law, or that we are legally required to remove. Where appropriate and lawful, we will tell you why.

05

5. AI features

Where AI features are enabled, they may suggest captions, ideas or other content based on your prompts and selected content. AI output can be inaccurate, incomplete or similar to content produced for others, so you must review it before using or publishing it, and you are responsible for what you publish. Prompts and context sent to AI providers are handled as described in section 6 of our Privacy Policy. Do not submit sensitive personal information you do not need to.

06

6. Connected social platforms and publishing

Connecting accounts. You may connect accounts on social platforms such as Facebook, Instagram, LinkedIn, TikTok and X, where we support them. You connect through the platform’s own authorisation screen; we never ask for your social media password. You authorise us to act on the connected account only as needed for the features you use, such as publishing, scheduling and checking post status.

Platform terms apply. Your use of each platform remains governed by that platform’s own terms, policies and community guidelines, and you must comply with them, including rules on branded content, music and promotions. The platforms are not parties to these Terms and are not responsible for the Services.

Availability depends on the platforms. Platforms decide which features they offer to us and may change, limit or withdraw them at any time, for example by changing their APIs, requiring reviews, limiting how many posts can be made, or restricting accounts. If a platform does so, the related features of the Services may stop working, and we are not responsible for that.

Scheduling and publishing. We aim to publish approved content at the time you plan it, but we do not guarantee that a post will be published, published at an exact time, or displayed in a particular way. Platforms may delay, reject, alter or remove posts. A post is shown as published in the Services only once the platform confirms it. Where a channel is not connected for automatic publishing, a plan is a reminder for you to post manually; marking it as posted records your confirmation only.

Disconnecting. You can revoke our access at any time through the platform’s settings, or in the Services where available. Disconnecting does not delete posts already published on the platform.

07

7. Acceptable use

You must not use the Services, or allow anyone else to use them, to:

  • publish or store content that is unlawful, defamatory, harassing, hateful, sexually exploitative, violent, or that infringes intellectual property, privacy or publicity rights;
  • send spam, run fake engagement, impersonate others, or mislead people about who is behind an account or post;
  • connect or publish to accounts you are not authorised to use;
  • breach the terms, policies or rate limits of any connected platform, or try to get around restrictions a platform places on you;
  • upload malware or files designed to harm systems, or files that misrepresent their type;
  • probe, scan or test the security of the Services, or access them by automated means, except through features we provide for that purpose;
  • interfere with or overload the Services, or access another workspace’s data without permission;
  • copy, resell or build a competing product from the Services, or reverse engineer them except where the law allows;
  • use the Services in breach of sanctions, export controls or other applicable laws.

We may investigate suspected breaches and take the steps in section 9.

08

8. Plans, fees and billing

Free use for now. Until we publish paid plans, the Services are provided free of charge, and we may set limits on use. We will give you notice before any feature you already use becomes chargeable, and you will not be charged unless you choose a paid plan.

Paid plans. When paid plans are available, the price, billing period, included limits and any trial will be shown before you buy. By purchasing, you authorise us and our payment provider to charge the payment method you provide. Subscriptions renew automatically at the end of each billing period unless you cancel before renewal; cancellation takes effect at the end of the current period.

Taxes. Prices exclude applicable taxes unless stated otherwise, and you are responsible for taxes due on your purchase.

Refunds. Fees are non-refundable except where required by law or where we state otherwise in writing.

Price changes. We may change prices with at least 30 days’ notice before the change applies to your next billing period. If you do not agree, you may cancel before the new price takes effect.

Late payment. If a payment fails, we may limit or suspend paid features until it is resolved.

09

9. Suspension, termination and deleting your data

You can stop at any time. You may stop using the Services whenever you like, and ask us to delete your account and data as described on our data deletion page.

When we may suspend or terminate. We may suspend or terminate your access, in whole or in part, if you seriously or repeatedly breach these Terms, if your use creates a risk to the Services, other users or a connected platform, if a platform requires us to, or if the law requires it. Where reasonable and lawful, we will give you notice and a chance to fix the problem first. We may also discontinue the Services, or a feature, with reasonable notice.

What happens next. When your access ends, you lose access to the workspace content you can no longer reach, and we will delete data as described in our Privacy Policy and data deletion page, keeping only what the law requires. Where practical, we will give you a reasonable opportunity to export your content first, unless the termination is for a serious breach or legal reasons prevent it. Posts already published to social platforms stay there unless you remove them.

What continues. Sections 4 (licence for retained copies only), 10, 12, 13, 14, 16 and 17 continue after these Terms end, along with any unpaid fees.

10

10. Our intellectual property and feedback

The Services, including their software, design, text, graphics and the Growdex and Growdex Social names and logos, belong to us or our licensors and are protected by law. We give you a limited, non-exclusive, non-transferable, revocable right to use the Services in line with these Terms while your account is active. We reserve all rights not expressly granted.

If you send us ideas, suggestions or other feedback, we may use them without restriction or payment to you. Feedback does not include Your Content.

11

11. Third-party services

The Services rely on and link to services we do not control, including social platforms, hosting, storage, email and, where enabled, payment and AI providers, as listed in our Privacy Policy. Their availability and their own terms are outside our control, and your use of a third-party service is at your own discretion.

12

12. Disclaimers

We provide the Services with reasonable care and skill. Apart from that, and to the extent the law allows, the Services are provided “as is” and “as available”. We do not promise that they will be uninterrupted, error-free or free of harmful components, that posts will be published by a connected platform or reach any audience, or that use of the Services will produce any particular result, such as engagement or growth. Nothing in these Terms affects rights you have under consumer protection law that cannot be excluded, including under Nigeria’s Federal Competition and Consumer Protection Act 2018.

13

13. Limitation of liability

To the extent the law allows:

  1. We are not liable for indirect or consequential loss, or for loss of profits, revenue, business, goodwill, data or followers, whether arising in contract, negligence or otherwise, even if it was foreseeable.
  2. We are not liable for the acts, omissions or decisions of social platforms or other third-party services, including a platform rejecting, delaying, changing or removing a post or restricting an account.
  3. Our total liability to you for all claims relating to the Services in any 12-month period is limited to the greater of the fees you paid us for the Services in the 12 months before the event giving rise to the claim, and ₦100,000.

Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, or for fraud.

14

14. Indemnity

If you use the Services for a business, you will compensate us for reasonable losses, costs and expenses (including reasonable legal fees) arising from claims by third parties that result from Your Content, your breach of these Terms or of a connected platform’s terms, or your publishing for a client without proper authority. We will tell you promptly about any such claim and let you take part in defending it.

15

15. Changes to these Terms

We may update these Terms as the Services, the law or platform requirements change. We will update the “Last updated” date, and for material changes we will give you at least 30 days’ notice by email or in the Services before they take effect, unless a change is needed sooner for legal or security reasons. If you keep using the Services after a change takes effect, the updated Terms apply. If you do not agree, you may stop using the Services and ask us to delete your data.

16

16. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Before starting formal proceedings, you and we will try in good faith to resolve any dispute by contacting each other and negotiating for at least 30 days. If the dispute is not resolved, the courts of Nigeria will have exclusive jurisdiction, except that we may seek urgent relief to protect our rights in any court with jurisdiction. If you are a consumer living outside Nigeria, you keep any protection given to you by the mandatory laws of your country.

17

17. General

  • Entire agreement. These Terms, together with our Privacy Policy and any terms shown when you buy a paid plan, are the whole agreement between you and us about the Services.
  • Transfer. You may not transfer your rights under these Terms without our consent. We may transfer ours as part of a reorganisation, merger or sale of our business, and will tell you if this affects you.
  • Severability. If a court finds part of these Terms unenforceable, the rest stays in effect.
  • No waiver. If we do not enforce a right straight away, we can still enforce it later.
  • Events beyond control. Neither of us is responsible for delays or failures caused by events outside our reasonable control, including platform outages or policy changes.
  • Notices. We may send notices to the email address on your account or show them in the Services. You can send notices to the address below.
